Licensing Terms and Conditions
This is a legal agreement between you ("Licensee") and CMSTheme.com. This agreement applies to licenses issued via the world wide web and is applicable to online delivery of licensed material. Your purchased or use of the Licensed Material's License implies that you have read and accepted these Licensing Terms and Conditions.

DEFINITIONS
"Licensed Material" means the Pligg Templates. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and also to the Licensed Material taken as a whole.

GRANT OF RIGHTS
2.1 The Licensed Material is not being sold; it is being provided to the Licensee under the terms of this agreement, which allows for use of Licensed Material but does not transfer ownership. You must not claim intellectual or exclusive ownership to the Licensed Material, modified or unmodified. Ownership remains with the CMSTheme.com.
2.2 Licensee is allowed to use and install the License Material to a maximum of two domains or websites he currently owned.
2.3 Licensee has the non-exclusive, non-transferable, non-sublicensable right to use the Licensed Material subject to the restrictions set forth in the Agreement.
2.4 You are authorized to make any necessary modification(s) to the Licensed Material to fit your purposes. You may remove the "Design By" credits in the Licensed Material.

RESTRICTIONS
3.1 Licensee may not sublicense, sell, assign, convey or transfer Licensed Material, this Agreement or any of its rights under this Agreement without prior written consent from CMSTheme.com.
3.2 Licensee may not sell, license or distribute any derivative work based on the Licensed Material.
3.3 Licensee must not use the Licensed Material on more than two(2) domains or websites he owned. The Licensee must purchase another License should he wish to use the License Material on more than two domains/websites.
3.4 Licensee must not claim on creation of the Licensed Material such as "Template By Your Company", "Design By Your Company" and such similar things.
3.5 Licensee must not post the Licensed Material, modified or unmodified, on a diskette, CD, online media, or any other medium and offer them for redistribution or resale of any kind.

COPYRIGHT
No ownership or copyright in any Licensed Material shall pass to Licensee by the issuance of the license contained in this Agreement. Except as expressly stated in this Agreement, CMSTheme.com grants to Licensee no right or license, express or implied, to the Licensed Material.

THIRD PARTY MODULES
Pligg has plugins called Pligg Modules which also uses templates for its presentation. Templates for these modules are not part of the customization of the Licensed Material and it is our sole discretion if we modify the modules' templates to match with the Licensed Material or leave it by default. We do not support modifications for these templates. Additionally, we cannot guarantee that the Licensed Material will work with these modules.

UPDATES
The Licensed Material are always coded for the latest version of Pligg at the time of its creation. If a new version of Pligg comes out, we will upgrade the Licensed Material to be compatible with the new version. The upgrade process could take up to one month after Pligg officially release its new version.

REFUND POLICY
Since CMSTheme.com Templates Club is offering non-tangible irrevocable Licensed Material, we can only offer refunds if your account has not been activated yet. Upon the activation of your account, we do not issue refunds anymore, which you are responsible for understanding upon purchasing the Licensed Material License at our site.

SUPPORT
We offer the Licensed Material "AS IS", with no implied meaning that they will function exactly as you wish or with all 3rd party modules. Further, we offer no support via email or otherwise for installation, customization and administration of Pligg itself. A private members-only forum is available to the Licensee. It is our policy that we will only provide assistance with technical queries on the support forum - and not via the e-mail communication.

PRICING CHANGES
Prices of the Licensed Material maybe change from time time as required and are subject to change upon 30 days notice from CMSTheme.com.

TERMINATION & REVOCATION
The license contained in this Agreement will terminate automatically without notice from CMSTheme.com if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately (i) stop using the Licensed Material; (ii) destroy the Licensed Material; and (iii) delete or remove the Licensed Material from Licensee's premises, computer systems and electronic storage.

WARRANTY
CMSTheme.com does not guarantee the Licensed Material in any manner. We cannot guarantee the Licensed Material will function with all 3rd party modules. Browser compatibility should be tested with the demo of the Licensed Material on the demo server. Please ensure that the browsers you use will work with the Licensed Material as we can not guarantee that it will work with all browser combinations.

The Licensed Material are provided "AS IS" without warranty of any kind, either expressed or implied. In no event shall our juridical person be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our products.
